Terms of Service

Acceptance of Terms
By accessing or using Exit Ecom at exitecom.com or the dashboard at dash.exitecom.com (together, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
These Terms form a legally binding agreement between you ("User," "you") and Exit Ecom ("we," "us," "our"). If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

Description of Services
Exit Ecom provides an AI-powered exit preparation platform for e-commerce business owners. The Platform includes:
Exit Readiness Score — a weighted assessment of your business's buyer-readiness
Risk Scanner — identification and quantification of value-reducing risks
Valuation Engine — buyer-grade valuation modelling based on real market multiples
De-Risk Engine — prioritised action plan to increase exit valuation
Data Room Builder — organised documentation for due diligence
Investment Memo Generator — AI-generated buyer narrative
Exit Advisory — strategic exit preparation and negotiation support (premium layer)
Verified Buyer Introductions — curated matching with acquisition buyers (premium layer)
Exit Ecom is a preparation and intelligence platform, not a licensed broker, financial adviser, or law firm. Outputs are informational and should not be treated as professional financial or legal advice.

Accounts
Registration
You must create an account to access the Platform. You agree to provide accurate, current, and complete information and to keep it updated.
Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@exitecom.com if you suspect unauthorised access.
One Account Per Business
Each account should represent a single e-commerce business or operator. Creating multiple accounts to circumvent access restrictions is prohibited.

Subscriptions & Fees
Free Plan
The Free Plan provides limited access to the Platform including a basic Exit Readiness Score and partial valuation range. Certain features are locked behind the paid plan.
Paid Plan
The Paid Plan (currently priced between £499–£999 as a one-time or subscription fee, subject to change) unlocks full platform features including the complete valuation engine, full risk scanner, optimisation roadmap, downloadable PDF reports, and advisory access.
Payment
All fees are charged in GBP unless otherwise stated. Payment is processed by our third-party payment provider. By providing payment details, you authorise us to charge the applicable fees.
Refunds
Due to the immediate delivery of digital analysis and AI-generated reports, we operate a no-refund policy once the full paid analysis has been generated. If you encounter a technical issue that prevented delivery, contact hello@exitecom.com within 7 days.
Price Changes
We may change pricing at any time. Existing subscribers will receive 30 days' notice before any price change takes effect.
Success Fees
If Exit Ecom facilitates a successful business sale through buyer introductions, a success fee may apply. The applicable fee and terms will be disclosed separately and require your explicit written agreement before any introduction is made.

Your Data & Third-Party Integrations
Ownership
You retain ownership of all business data, financial information, and documents you upload or connect to the Platform. By using the Platform, you grant Exit Ecom a limited licence to process and analyse your data solely to provide the services described.
Third-Party Integrations
When you connect Shopify, Meta Ads, Google Ads, or other platforms via OAuth, you authorise Exit Ecom to access the data scopes you approve. You are responsible for ensuring your use of these integrations complies with each platform's own terms of service.
Data Accuracy
The quality of insights, scores, and valuations produced by the Platform depends entirely on the accuracy and completeness of the data you provide. Exit Ecom does not warrant that outputs based on incomplete or inaccurate data will reflect your business's true position.

Acceptable Use
You agree not to:
Use the Platform for any unlawful purpose or in violation of applicable regulations
Submit false, misleading, or fraudulent business data
Attempt to reverse-engineer, scrape, or extract our AI models, scoring logic, or proprietary methodologies
Use automated tools to access the Platform without our prior written consent
Resell, sublicense, or commercialise outputs without our written permission
Interfere with or disrupt the Platform's infrastructure or security
Use the Platform to facilitate the sale of illegal, counterfeit, or prohibited goods
Impersonate another person or entity
We reserve the right to suspend or terminate access for any violation of these rules.

Intellectual Property
Our Property
The Platform, including its AI models, scoring methodologies, valuation frameworks, software, design, and branding, is owned by Exit Ecom and protected by intellectual property law. Nothing in these Terms transfers ownership to you.
Your Reports
Reports, scores, and analysis generated for your specific business are provided for your personal and internal business use. You may share them with potential buyers, advisors, and legal counsel in the context of a genuine exit process.
Feedback
If you provide feedback or suggestions about the Platform, you grant us a perpetual, royalty-free licence to use that feedback to improve our services without obligation to you.

Disclaimer of Warranties
We do not warrant that:
Valuation figures represent the price any specific buyer will offer for your business
Risk assessments identify all risks a buyer may identify during due diligence
Following our recommendations will result in a higher sale price or a completed transaction
The Platform will be available without interruption or error
Outputs from the Platform are tools to inform your decision-making. They are not a substitute for independent legal, financial, or accounting advice.
The Platform is provided "as is" and "as available." Exit Ecom makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy of outputs.

Limitation of Liability
To the fullest extent permitted by law, Exit Ecom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption, arising from your use of or inability to use the Platform.
Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total amount you paid to us in the 12 months preceding the claim.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification
You agree to indemnify, defend, and hold harmless Exit Ecom and its officers, employees, and agents from and against any claims, damages, losses, and costs (including legal fees) arising from:
Your use of the Platform in violation of these Terms
Data or content you submit that infringes a third party's rights
Your violation of any applicable law or regulation

Termination
By You
You may close your account at any time from the dashboard settings or by emailing hello@exitecom.com.
By Us
We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We will notify you unless prohibited.
Effect of Termination
Upon termination, your right to access the Platform ceases. Sections on Intellectual Property, Disclaimer, Limitation of Liability, and Governing Law survive termination.

Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We encourage you to contact us first to attempt to resolve any dispute informally before initiating legal proceedings.

Changes to These Terms
We may update these Terms at any time. Material changes will be communicated by email and via a notice on the Platform at least 14 days before they take effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
